Terms of service
The rules for using Qnal, and what we promise about your printed codes.
1. These terms
These terms are an agreement between [Qnal legal entity name and registered address, to be confirmed] ("Qnal", "we", "us") and the organization that uses Qnal ("you", the "customer"). By creating an account or using Qnal, you accept these terms. If you accept them for a company, you confirm that you have the authority to bind it. If you and Qnal sign an order form or a separate agreement, it controls where it conflicts with these terms.
Qnal is a service for businesses. It is not for personal, family or household use.
2. The service
Qnal helps exhibitors plan trade shows, publish QR codes, links and booth pages, capture and merge leads, draft and send follow-ups from their reps' own mailboxes, and report on the results. Access is currently by invitation. We may change, add or remove features over time, and we will not remove a core feature you rely on without reasonable notice. [Service levels and support terms, if any, to be set in the order form.]
3. Accounts and access
- Give accurate information when you sign up, and keep it current.
- You decide who joins your organization and which role each member has. You are responsible for what your members, and anyone using your API keys, do in Qnal.
- Keep sign-in links, passwords and API keys secret, and tell us right away at hi@qnal.com if you think one has been compromised.
4. Your data
You own the data you and your team put into Qnal, including leads, notes, photos, follow-ups and reports ("your data"). You give us permission to host, copy, process and display your data only as needed to provide, secure and support Qnal for you, and as described in our privacy policy. For lead data, we act as your processor or service provider. [A data processing agreement, to be confirmed by counsel, forms part of these terms.]
You can export your data while your account is open. We may create aggregated statistics that do not identify you, your members or your leads, and use them to run and improve Qnal.
5. Your responsibilities for leads
You decide whom you collect data about and whom you contact. You are responsible for:
- having a lawful basis, including any consent that applies, for collecting each lead and for every purpose you use it for, including follow-up, marketing and syncing it to your CRM;
- giving the people you meet any notice the law requires, such as your own privacy notice;
- the content of every follow-up your reps approve and send, and compliance with the email and privacy laws that apply to you and to the people you contact, which may include CAN-SPAM, CASL, the GDPR and UK GDPR, PECR and state privacy laws;
- honoring unsubscribe and data requests, including in systems outside Qnal such as your CRM;
- the accuracy of badge exports, target lists and other data you import.
Qnal records consent, checks suppression and consent before each send, and adds an unsubscribe link to every follow-up. These tools help you comply, but they do not make any message lawful, and nothing in Qnal is legal advice.
6. Acceptable use
You must not use Qnal to:
- send spam, or email people who have unsubscribed or whom you have no right to contact;
- point links or QR codes at phishing, malware, scams or other deceptive or unlawful content;
- collect data from children under 16, or collect sensitive data such as health information, government ID numbers or payment card details in lead fields;
- infringe anyone's intellectual property, privacy or other rights;
- probe, scan or test the security of Qnal without our written permission, or get around rate limits, usage limits or access controls;
- copy, resell or reverse engineer Qnal, except where the law allows it despite this restriction;
- overload or disrupt the service or other customers.
We may block a link to a known unsafe destination, and we may pause content or accounts that break these rules, telling you when we can.
7. Links and QR codes after you stop
Printed QR codes are expensive to replace, so we treat them differently from the rest of the service. If you cancel or your plan ends, your Qnal links and dynamic QR codes keep redirecting to their last valid destination. Published booth pages keep showing their last published version. Creating and editing codes, follow-ups, integrations and detailed analytics stop according to your plan.
A link or QR code stops redirecting only when:
- you pause it, set it to expire, or delete it;
- you delete your organization, which stops all of its links and QR codes, and we warn you about this before you confirm;
- its destination is unsafe or the link is used for abuse, or the law requires us to stop it.
[Duration of this commitment and what happens if Qnal stops operating, to be confirmed by counsel.]
8. Fees
Qnal is priced by show or by annual exhibit program. Fees, billing periods and payment terms are set in your quote or order form. Fees do not include taxes, which you are responsible for, other than taxes on our income. [Renewal, late payment and refund terms, to be confirmed.]
9. Integrations and third parties
When you connect Google Workspace, Microsoft 365, HubSpot, Salesforce, EA AI Cloud or your own systems, you direct us to exchange data with them. Their services are governed by your agreements with those providers, and we are not responsible for them. If a provider changes or ends its service, we may have to change or end the matching integration.
10. Our property and feedback
Qnal, including its software, design and brand, belongs to us and our licensors. These terms give you the right to use Qnal while your account is active; they do not transfer ownership. If you send us feedback, we may use it without obligation to you.
11. Suspension and termination
You can stop using Qnal at any time, subject to your order form. We may suspend or end your access if you materially break these terms and do not fix it after notice, or immediately if needed to prevent harm to Qnal, other customers or the public. After termination, you can export your data for [30 days, to be confirmed], after which we delete it as described in the privacy policy. Section 7 continues to apply to your printed codes. Sections that by their nature should survive termination will survive.
12. No warranty
Qnal is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties beyond those the law requires, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that Qnal will be uninterrupted or error-free, that any show will produce a particular result, or that any message will be delivered or answered.
13. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, pipeline or data, even if told they were possible. Each party's total liability arising out of these terms is limited to [the fees you paid Qnal in the 12 months before the claim, to be confirmed by counsel]. These limits do not apply where the law does not allow them, or to [exclusions, to be confirmed by counsel].
14. Indemnity
You will defend and indemnify Qnal against third-party claims arising from your data, the messages your team sends, or your breach of sections 5 and 6. [Mutual indemnity for Qnal's infringement of third-party rights, to be confirmed by counsel.]
15. Governing law
These terms are governed by the laws of [to be confirmed by counsel], and disputes will be resolved in the courts of [to be confirmed by counsel].
16. Changes to these terms
We may update these terms. We will post the new version on this page and update the date at the top, and we will tell account owners by email at least [30 days, to be confirmed] before a material change takes effect. If you keep using Qnal after that, the new terms apply.
